Terms of Service
Last updated: 30 September 2026
1. About these terms
These Terms of Service ("Terms") are an agreement between you and Zempra LLC, a Wyoming limited liability company registered at 30 N Gould St, Ste N, Sheridan, WY 82801, USA ("Nottut", "we", "us"). They cover the Nottut website, web app and desktop app (together, the "Service").
You accept these Terms when you create an account or use the Service. If you use Nottut for an organization, you accept them on its behalf and confirm that you are allowed to. If you do not accept them, do not use the Service.
Two other documents are part of these Terms: the Privacy Policy, which explains how we handle personal data, and the Subscription, Cancellation & Refund Policy, which covers paid plans.
A "consumer" in these Terms is someone who uses the Service mainly for personal purposes, not for their trade, business or profession. Nothing in these Terms takes away rights that consumer law gives you and that a contract cannot remove.
2. The Service
Nottut is an app for writing, organizing and sharing notes. The desktop app can keep a Local workspace that stays on your device. A Cloud workspace is stored on our servers, so you can use it on the web and on your other devices, share it and use online features.
We offer a free plan and paid plans. The pricing page shows what each plan includes, its limits and its price. Features and limits can change as described in section 11.
3. Your account
- You must be at least 13 years old. If you are under 18, or under the age of majority where you live, you need the permission of a parent or legal guardian, who accepts these Terms for you.
- Give accurate information and keep it up to date.
- Keep your password and devices secure. You are responsible for what happens under your account.
- If you think someone has used your account without permission, tell us right away at support@nottut.com.
- Do not open several accounts to get around the limits of the free plan.
4. Acceptable use
Do not use the Service to:
- create, store or share illegal content, including content that sexually exploits children, promotes terrorism, or incites violence or hatred;
- infringe the intellectual property, privacy or other rights of others;
- upload malware or other harmful code;
- run scrapers, bots or other automated tools in a way that burdens the Service or affects other users;
- reverse engineer the Service, probe it for vulnerabilities (except responsible disclosure to us), or get around access controls or usage limits;
- use AI features to produce deceptive content, commit fraud or impersonate someone;
- resell the Service or offer it to others for a fee without our written agreement.
We may remove content, or limit or suspend features, when this section or the law is broken. To report content you believe is illegal or breaks these Terms, email support@nottut.com with a link to it and the reason.
5. Your content
Your notes, files and other content ("Your Content") belong to you. We claim no ownership of them, including what the AI features write for you.
You give us a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit and display Your Content, only to run the Service for you: for example to store and sync it, back it up, search it, process it with AI features you choose to use, and show it to you and to the people you share or publish it with. Our service providers may do this work for us within the same limits. The licence ends when Your Content is deleted, except for copies other people have saved and backups that expire on their normal cycle.
We do not use Your Content for advertising, and we do not use it to train AI models.
You are responsible for Your Content and for having the right to use it.
When you share content, the people you share it with can see it, and edit it if you allow that. When you publish a page, anyone with its link can read it, along with your name and profile photo; a listed page also appears in Explore and in search engines. You can unpublish at any time, but copies others saved or search engines cached may remain for a while.
6. AI features
- When you use an AI feature, your request and related note content are sent to a third-party AI model provider to produce the answer. The Privacy Policy explains what is sent and lists the providers.
- AI output can be wrong, incomplete or out of date. Check it before you rely on it, and do not use it as the only basis for medical, legal, financial or other important decisions.
- Each plan includes a monthly allowance of AI credits. Credits reset every calendar month, and unused credits do not carry over. The pricing page shows each plan's allowance.
- If you connect your own account with an AI provider, its terms and prices apply to those requests, and your Nottut credits are not used.
- Your use of a model may also be subject to its provider's usage policies.
- We may limit or suspend AI use that is abusive, far above normal use, or a risk to the Service.
7. Paid plans and payment
- Who sells your plan. We sell paid plans through Stripe Managed Payments. Stripe is the reseller and merchant of record, under the name Link: checkout shows "Sold through Link", your card statement shows "LINK.COM*", and your receipts and invoices come from Link. Link's terms apply to the purchase and the payment. We provide the Service and give you the right to use it under these Terms.
- Prices and tax. Prices are in US dollars and include sales tax or VAT where it applies. Stripe calculates, collects and pays these taxes. Your bank may charge its own fees for a payment in a foreign currency.
- Billing and automatic renewal. Paid plans are charged in advance for each monthly or yearly period. Your plan renews automatically at the end of each period, at the price that applies then, and the payment method on file is charged, until you cancel. Before a yearly plan renews, you get a reminder by email.
- Changing plans. You can change your plan or billing period in the Stripe customer portal, which you open from the billing section of your Nottut settings. An upgrade applies right away, and you pay the difference for the rest of the current period. A downgrade, or a switch from yearly to monthly billing, applies at the end of the current period. The amount is shown before you confirm.
- Team plans. A Team plan is charged per editor seat; viewers and guests are free up to the number shown on the pricing page. Seats added during a period are charged right away for the rest of that period. Seats removed during a period are credited for its unused part, and the credit is taken off your next bill.
- Price changes. If the price of your plan changes, we email you 30 days before your first renewal at the new price, with instructions for cancelling. If you do not want to pay the new price, cancel before that renewal. If you are charged the new price and cancel within 14 days after that charge, we refund the unused part of the period.
- Failed payments. If a renewal payment fails, it may be retried. If it still cannot be collected, your account may move to the Free plan.
8. Cancellation and refunds
You can cancel a paid plan at any time online, in the Stripe customer portal (open it from the billing section of your Nottut settings) or at link.com. Cancellation takes effect at the end of the period you have paid for; your account then moves to the Free plan. Deleting your account ends a paid plan straight away. The Subscription, Cancellation & Refund Policy explains what happens to your content and when you can get a refund, including a full refund within 14 days of your first payment for a plan.
9. Free plan
The free plan has the limits shown on the pricing page. We may deactivate a free account that has had no activity for 12 months; we will warn you by email before we do. Accounts with an active paid plan are not affected.
10. Availability
We work to keep the Service available, but it can be interrupted for maintenance, updates or problems outside our control. We try to announce planned maintenance in advance. We do not promise a specific uptime.
11. Changes to the Service and to these Terms
We may change the Service for valid reasons: to add or improve features, to fix security or technical problems, to adapt to changes by our providers, or to comply with the law.
If a change to the Service or to these Terms materially reduces what you can do or is otherwise materially to your disadvantage, we will tell you by email at least 30 days before it takes effect and explain what changes. If you do not agree, you can cancel your paid plan free of charge up to 30 days after the change takes effect, and we will refund the unused part of any period you have paid for. Changes required by law, or needed to fix a security problem, may take effect sooner; we will tell you as soon as we can. Other changes take effect when we publish them here.
The date at the top of this page shows when these Terms last changed. Updated Terms apply from the date they take effect.
12. Suspension and termination
- You can stop using the Service at any time and delete your account in Settings. Deletion is immediate and cannot be undone, and it ends any paid plan straight away. What it removes, and when, is described in the Privacy Policy.
- We may suspend or close your account if you seriously or repeatedly break these Terms, if the law requires it, or to protect the Service or other people. Where it is reasonable, we will warn you first and give you a chance to fix the problem and export your content.
- We may also stop providing the Service to you, or stop the Service entirely, for any other reason, with at least 30 days' notice. In that case we refund the unused part of any period you have paid for.
- Sections 5 and 13 to 17 continue to apply after your account is closed.
13. Disclaimers
We provide the Service as it is and as available. To the extent the law allows, we make no promises beyond those in these Terms, including that the Service will be uninterrupted, error-free or suitable for a particular purpose. If you are a consumer, you keep the legal guarantees the law gives you, such as the right to a digital service that conforms to the contract.
14. Limitation of liability
- To the extent the law allows, we are not liable for indirect or consequential loss, lost profits or revenue, lost data, or business interruption.
- To the extent the law allows, our total liability for all claims relating to the Service is limited to the amount you paid for the Service in the 12 months before the event that gave rise to the claim.
- If you are a consumer in the EU or UK, we are responsible for loss you suffer that is a foreseeable result of our breaking these Terms or failing to use reasonable care and skill.
- Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud, for death or personal injury caused by negligence, or for gross negligence or intentional misconduct.
15. Indemnity
To the extent the law allows, you will reimburse us for losses and reasonable costs, including legal fees, that result from third-party claims caused by Your Content or by your use of the Service in breach of these Terms.
16. Governing law and disputes
- If you have a problem, please contact us first at support@nottut.com. Most issues can be solved quickly.
- These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-law rules.
- If you are a consumer, you also keep the protection of the mandatory laws of the country or state where you live, and you can bring a claim in the courts where you live.
- If you are not a consumer, the state and federal courts located in Wyoming have exclusive jurisdiction.
17. General
- If a court finds part of these Terms invalid, the rest stays in effect.
- If we do not enforce a right, we have not waived it.
- These Terms, the Privacy Policy and the Subscription, Cancellation & Refund Policy are the whole agreement between you and us about the Service. For users in Türkiye, the KVKK notice (in Turkish) also applies.
- You may not transfer your rights under these Terms without our written consent. We may transfer this agreement as part of a merger, acquisition or reorganization, as long as your rights are not reduced.
- We send notices to the email address on your account.
